Welcome to dharmendraasimi.com (the “Website”), operated by Dharmendra Asimi under the trade name Aapta Solutions(“we”, “us”, “our”). By accessing or using this Website and any services offered through it, you (“Client”, “you”, “your”) agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Website or our services.
1. Definitions
- “Services” means all services provided by us including WordPress Maintenance Plans (Professional and Advanced), Marketing Consulting, Technical Consulting, and On-Demand Services.
- “Maintenance Plans” refers to the recurring monthly WordPress maintenance subscriptions (Professional and Advanced).
- “On-Demand Services” refers to one-time or project-based micro-services available for purchase.
- “Deliverables” means all work product, reports, code, configurations, and documentation produced during service delivery.
- “Website” refers to dharmendraasimi.com and all its sub-pages.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By placing an order, you represent and warrant that all information you provide is accurate, current, and complete.
3. Services Overview
3.1 WordPress Maintenance Plans
We offer two recurring monthly plans — Professional (₹29,999/month + GST) and Advanced (₹49,999/month + GST). Each plan includes specific features as described on our Services page. Plans are billed monthly and auto-renew unless cancelled.
3.2 Consulting Services
Marketing Consulting and Technical Consulting are engagement-based services. Scope, deliverables, timelines, and fees are agreed upon before commencement and documented in a separate proposal or statement of work where applicable.
3.3 On-Demand Services
On-Demand Services are individual, project-based tasks available for one-time purchase. Each service has its own scope, delivery timeline, and pricing as listed on the Website.
4. Orders and Payment
4.1 Placing an Order
Orders are placed through our Website checkout process. By completing checkout, you are making a binding offer to purchase the selected service. We reserve the right to accept or decline any order at our discretion.
4.2 Pricing
All prices are listed in Indian Rupees (INR). Prices are subject to change; however, changes will not affect orders already placed. We reserve the right to correct pricing errors.
4.3 Taxes
For Indian residents, Goods and Services Tax (GST) at the rate of 18% will be applied to all services. International clients are exempt from GST. You are responsible for any other taxes applicable in your jurisdiction.
4.4 Payment Methods
We accept payments via Razorpay (for India-based clients) and Stripe (for international clients). All payment processing is handled securely by these third-party providers. We do not store your credit card or bank details on our servers.
4.5 Failed Payments
If a recurring payment fails, we will attempt to process it again within 3 business days. If payment continues to fail after 3 attempts, your maintenance plan may be suspended until payment is resolved. We will notify you via email before any suspension.
5. Service Delivery
5.1 Access Requirements
For WordPress Maintenance Plans, you must provide us with WordPress admin access and hosting/server access (cPanel, SSH, or equivalent) to perform the services. Failure to provide timely access may delay service delivery. All credentials are handled securely.
5.2 Onboarding
Upon purchasing a Maintenance Plan, we conduct an initial site audit within 24–48 business hours of receiving access. Any critical issues found are addressed immediately, and a maintenance plan is shared with you.
5.3 Developer Hours
Developer hours included in maintenance plans (10 hours for Professional, 20 hours for Advanced) cover custom development, design changes, plugin customization, and troubleshooting beyond routine maintenance. Unused hours do not roll over to the next billing cycle.
5.4 Response Times
We aim to respond to all support requests within 4 business hours during standard business hours (Monday–Friday, 10 AM–7 PM IST). Critical security issues are addressed on a priority basis regardless of time.
6. Client Responsibilities
- Provide accurate and complete information during registration and checkout.
- Maintain the confidentiality of your account credentials.
- Provide timely access to your WordPress site and hosting environment.
- Respond to our communications within a reasonable timeframe.
- Ensure your website content complies with all applicable laws and regulations.
- Obtain all necessary licenses for themes, plugins, and media used on your site.
- Notify us promptly of any changes to your hosting environment or website that may affect our services.
7. Cancellation and Termination
7.1 Cancellation by Client
You may cancel your Maintenance Plan at any time with 30 days' written notice. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for the remaining days of the current cycle.
7.2 Cancellation by Us
We reserve the right to terminate or suspend services if: (a) payment is overdue by more than 15 days; (b) you breach these Terms; (c) your website is used for illegal, harmful, or malicious purposes; or (d) you fail to provide necessary access after repeated requests.
7.3 Effect of Termination
Upon termination, we will provide a complete handover of all credentials, backups, and documentation within 7 business days. Any outstanding invoices remain payable.
8. Refund Policy
Our refund policy is detailed on our Refund Policy page. In summary: Maintenance Plans are eligible for a full refund within 15 days of purchase. On-Demand Services are fully refundable before work begins, and non-refundable once work has started.
9. Intellectual Property
9.1 Your Content
You retain full ownership of your website content, data, media, and intellectual property. We do not claim any ownership rights over your content.
9.2 Our Work Product
Custom code, configurations, and deliverables created specifically for you during service delivery are assigned to you upon full payment. We retain the right to use general techniques, knowledge, and non-proprietary methodologies in future work.
9.3 Third-Party Software
We may recommend or install third-party plugins, themes, or tools. These remain subject to their respective licenses and terms. We are not responsible for third-party software licensing compliance.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes but is not limited to: login credentials, business data, customer information, pricing strategies, and proprietary methodologies. We will sign a Non-Disclosure Agreement (NDA) upon request.
11. Data Protection
We handle your personal data in accordance with our Privacy Policy. We implement industry-standard security measures to protect your data and credentials. We do not sell, rent, or share your personal information with third parties for marketing purposes.
12. Limitation of Liability
- We provide services on an “as is” basis and make no warranties, express or implied, regarding the results of our services.
- Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
- We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of revenue, data, or business opportunities.
- We are not responsible for damages caused by third-party services, hosting providers, plugin/theme developers, or force majeure events.
- We are not liable for any downtime, data loss, or security breaches caused by factors outside our reasonable control.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your website content; (c) your use of our services; or (d) any violation of applicable laws by you.
14. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, cyberattacks, and infrastructure failures.
15. Dispute Resolution
Any disputes arising from or relating to these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, India. The language of arbitration shall be English.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of India. The courts of Bangalore, Karnataka shall have exclusive jurisdiction over any legal proceedings.
17. Modifications
We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Website. Continued use of our services after changes constitutes acceptance of the updated Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and us regarding the use of our Website and Services, superseding any prior agreements.
